Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 27, 2022, the Board of Directors of Lawson Products, Inc., a Delaware corporation (“Lawson”), appointed J. Bryan King (the Chairman of the Board of Directors of Lawson) to also serve as Lawson’s President and Chief Executive Officer, effective May 1, 2022.

Additional biographical and other information required by Items 401(b), (d) and (e) and Item 404(a) of Regulation S-K regarding Mr. King was previously reported in Lawson’s Amendment No. 1 to Annual Report on Form 10-K/A for the fiscal year ended December 31, 2021, filed with the U.S. Securities and Exchange Commission on April 29, 2022, and is hereby incorporated herein by reference.

Lawson has not entered into any new or modified compensation arrangements with Mr. King at this time in connection with his appointment as President and Chief Executive Officer of Lawson.
